Terms and Conditions |

Acela Pharmatech LLC ("Seller") will provide the chemical products or services requested by the customer ("Buyer") subject to the terms and conditions below. The placing of a purchase order implies the acceptance of these terms and conditions.
1. Prices: All prices are shown in US dollars and are subject to changes without prior notice. Confirmation of our current price is made by e-mail when you place your order.
2. Shipping: Products are shipped mainly via FedEx or DHL. The Buyer may specify the carrier of choice. The Buyer is responsible for all shipping costs unless specified. Partial shipments of available items may be made when another item is backordered. For international shipments, in addition to shipping charges, the Buyer is responsible for any applicable tariff and VAT charges.
3. Payment: The payment term for credit accounts is NET 30 DAYS from the invoice date unless otherwise agreed in writing. The Seller reserves the right to request advance payment at its discretion. A late charge (1.5% per month) will be applied to an account for overdue outstanding invoices. For first-time buyers, payment in advance may be required until credit has been established. For overseas transactions the Buyer shall pay all of the Seller's banking charges. The Buyer shall not be entitled to withhold or set-off payment for the products and services for any reason whatsoever.
4. Returns: Products may not be returned for credit without prior authorization and shipping instruction from the Seller. The Buyer shall inspect goods immediately upon receipt and inform the Seller promptly of any damage or discrepancies. Should an item be shipped to you incorrectly, as the result of an error on our part, we will take quick and appropriate action to correct the problem. All claims for replacement, credit, or refund must be made within Fifteen (15) days of receipt of products. Failure to do so shall constitute a waiver by buyers for any and all such claims. Prior authorization by the Seller is required for all items to be returned. 20% processing fee may be imposed on items returned due to the Buyer' s error.
5. Order Change or Cancellation: Orders may be changed or amended only by written agreement signed by both the Buyer and the Seller. The Buyer may cancel an order only by providing actual notice to the Seller prior to the start of product production. Cancellation of an order during the product production shall result in a charge of thirty-five percentage (35%) of the cost of the original order. Upon completion of production for an individual product, no cancellation of an order shall be allowed.
6. Warranties & Liability: The products shipped by the Seller are warranted to conform to the chemical or biological descriptions provided in our publications. This warranty is exclusive, and the Seller makes no other warranty or express, including any implied warranty of merchantability or fitness for any particular purpose. Our sole and exclusive liability and your exclusive remedy with respect to products proved to our satisfaction to be defective or nonconforming shall be replacement of such products without charge or refund of the purchase price, in our sole discretion, upon the return of such products in accordance with our instructions. The Seller will not be liable for any incidental, consequential or contingent damages in connection with the use of the product provided.
7. Patent Disclaimer: The Seller does not warrant that the use or sale of our products will not infringe the claims of any United States or other patents covering the product itself or the use thereof in combination with other products or in the operation of any process.
8. Use of Our Products: All products are used ONLY for laboratory research and development purposes, not for human or animal application, and should be handled only by competent, suitably trained personnel. All products are supplied on the condition that the Buyer alone accepts total responsibility for their use and any misuse, and for their safe disposal, and for any risks and damages involved in using or handling them.
9. Miscellaneous: The Seller reserves the right to discontinue production of the products, to change specifications or prices of the products, and to correct any errors or omissions at any time without incurring obligations. |
